2. Due Diligence

Why?
Engaging experienced experts to perform due diligence on a target will mitigate potential liabilities in conjunction with the Director’s obligations and equip the decision makers with the appropriate information and insight to negotiate the optimal, commercial outcome.

Early Identification of Deal Breakers

Critical to any due diligence process is the ability to identify and communicate potential deal breakers early. Our experienced team play a “hands on” role and can identify these deal breakers as they arise and offer potential solutions. If the hurdles are insurmountable, costs are saved and bad acquisitions avoided.

3. Valuation 

With the corporate landscape continually changing in respect of corporate governance and regulatory requirements, expert valuations are critical for Directors to adequately discharge their duties.

WMS utilise the latest, accepted valuation methodologies and techniques in determining a valuation in association with utilising our commercial experience. We then apply our professional judgement in delivering quality reports identifying matters such as key risk areas.

Our team consists of dedicated valuation specialists with a high degree of practical, technical and business expertise.

The WMS team can assist if you require any of the following:

  • Business Valuation;
  • Company Valuation;
  • Transaction pricing analysis;
  • Valuation in accordance with A-IFRS such as:
    • purchase price allocation; and
    • Impairment testing.
  • Valuation for Tax purposes such as:
    • Stamp duty requirements;
    • CGT Cost Base allocation;
    • Tax Consolidation requirements.
  • Dispute Resolution.

4. Structuring 

We place a great deal of thought into the most appropriate structure having regard to matters such as income tax and capital gains tax efficiency, asset protection and growth flexibility.

Through our network of other specialist advisors, we are able to access leading edge advice in areas such as stamp duty rollover.

The costs associated with a post transaction restructure can be prohibitive. Our services include:

5. Capital Raising

The identification of the correct capital raising strategy is one of the most critical decisions a company can make. Our experienced team can partner you through any of the available options such as:

  • Merger & Acquisitions ("M&A's");
  • Sale, Disposal and Divestment;
  • Private Equity Transactions including MBO/MBI's;
  • Debt funding; and
  • IPO and disclosure document preperation.

Merger & Acquisition
WMS Corporate Finance has considerable experience in acting on the buy-side of transactions. Our team can advise on the following:

  • Identify potential targets;
  • Engage in initial negotation to protect confidentiality;
  • Research targets, evaluate synergies and risks;
  • Carry out valuations and pre-acquisition pricing analysis;
  • Assist in developing and rolling out strategy;
  • Develop structure and pricing;
  • Assist in capital raising and debt funding; and
  • Acquisition implementation.

Sale, Disposal or Divestment
As with the buy-side, we add value to each phase of selling a business or company.  This would include:

  • Grooming the company to make it investment ready;
  • Assist in preparing information memoranda;
  • Identification of potential purchasers;
  • Facilitate due diligence;
  • Assist in negotiations and deal closure.

Private Equity Transactions including MBO/MBI’s
Many successful privately owned companies reach a point where the current owners wish to make provisions to exit the business or the business requires an injection of capital to go to that next level. In these circumstances some of the owner’s options are to:

  • Go public (retaining a large % of issued capital)
  • A full or partial trade sale to a strategic partner; or
  • A Management Buy-out or Buy in ("MBO" or "MBI")

There are specific hurdles associated with each of these paths that require a dedicated team to navigate. We can assist in these processes by identifying key issues.

Debt Funding
We have a proven track record with assisting clients in accessing debt funding, providing independent experience to support our clients at all stages of the process from introduction to a range of financiers to developing the appropriate strategy and preparing funding proposals.

IPO’s and disclosure documents
Our independent team can assist you in all the critical issues as to whether an IPO is right for you, and if so, we can guide you through every aspect of the process:

  • Prospectus or disclosure document preperation;
  • Recommendation of brokers and advisors;
  • Advising on capital structure and pricing; and
  • Negotiating with stockbrokers, lawyers, and the ASX and advising on board structure and corporate governance.

About us
Our core team have been together for in excess of 15 years. WMS was established in May 1994 when John Watter and Jeff McDermid retired as Partners of Ernst & Young. Aaron Lavell and David Brims were managers at Ernst & Young also and were two of the founding 7 staff. Aaron and David were admitted as partners in 1999.

Anthony Karos and Ben Dean were admitted as partners in 2003 which coincided with John Watter’s retirement. David Hayes was appointed as a partner in 2005.
